These Terms & Conditions govern the provision of website design and development services by Refined Websites. By engaging our services, you agree to these Terms.
1. Definitions
“We”, “us”, and “our” refers to Refined Websites. “You” and “your” refers to the client purchasing services. “Services” includes website design, development, maintenance, and related deliverables described in your quote, proposal, or invoice.
2. Scope of Work
The scope, deliverables, timelines, and pricing are set out in your agreed quote/proposal and any supporting emails or documents. Any work outside the agreed scope may require a revised quote and timeline.
Change Requests
Requests that materially alter design direction, structure, features, or content may be treated as change requests. We will confirm any additional costs and timelines before proceeding.
3. Client Responsibilities
To complete the project efficiently, you agree to provide required content and approvals in a timely manner.
- Provide accurate text, images, branding assets, and business details.
- Confirm you have rights to use any content you supply (logos, images, text, videos).
- Review drafts and provide feedback/approval within reasonable timeframes.
- Ensure any third-party accounts (domain, hosting, email) are accessible when needed.
4. Project Timelines & Delivery
Timelines are estimates and depend on timely client feedback and content delivery. Delays in receiving required information or approvals may result in project delays.
Launch
We will request final approval before launch. Once launched, small post-launch tweaks can be supported, but additional changes may be quoted separately.
5. Fees & Payment
Pricing is as stated in your quote/proposal/invoice. Unless agreed otherwise in writing:
- Deposit (if applicable): due before work begins.
- Final balance: due before launch or handover.
Late payments may delay work, launch, or handover. You are responsible for any transaction fees.
6. Refunds & Cancellations
Deposits (if taken) cover reserved time and initial project work and are generally non-refundable once work has started. If you cancel after work begins, you agree to pay for work completed up to the cancellation date.
If we are unable to deliver the Services due to our fault, we will work with you to resolve the issue. If resolution is not possible, any refund (if applicable) will be limited to amounts paid for undelivered work.
7. Intellectual Property
Your Content
You retain ownership of content you provide. You grant us permission to use it solely to deliver the Services.
Our Work
Upon full payment, you receive a licence to use the final deliverables for your business. We retain ownership of underlying frameworks, reusable components, and non-client-specific code unless agreed otherwise in writing.
Portfolio Use
Unless you request otherwise in writing, we may display the completed work in our portfolio.
8. Third-Party Services
Your website may use third-party services (e.g., hosting, domain registrar, plugins, analytics, payment processors). Their terms and fees apply. We are not responsible for outages or changes caused by third-party providers.
9. Disclaimer
We will provide the Services with reasonable care and skill. We do not guarantee specific outcomes such as search rankings, leads, or sales.
10. Limitation of Liability
To the fullest extent permitted by law, our total liability for claims related to the Services will not exceed the fees you paid for the Services. We are not liable for indirect or consequential losses such as lost profits, lost revenue, or loss of data.
11. Confidentiality
Non-public information shared during the project will be treated as confidential and used only for delivering the Services.
12. Termination
Either party may terminate in writing. On termination, all work completed to date becomes payable. We will provide deliverables produced and paid for up to the termination date.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
